1. Introduction and Acceptance

Welcome to surgicalguide.pro (the "Platform" or "Service"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Client", "Provider", or "You") and Oleksandr Pakhomov (trading as surgicalguide.pro), registered under IČO: 55555411, DIČ: 3121728599, located in the Slovak Republic ("Company", "We", "Us", or "Our").

By registering an account, accessing, uploading data, or using the services provided by the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you are prohibited from using the Service.

By placing an order, submitting files for processing, or requesting a design quote, you automatically and unconditionally accept these Terms of Service, the Privacy Policy, and the Cookie Policy in their entirety. No separate written signature or checkbox confirmation is required — the act of using the Service constitutes your binding agreement.

2. Eligibility (B2B Professional Use Only)

The Service is strictly Business-to-Business (B2B) and intended solely for use by licensed dental professionals, dental laboratories, and qualified medical personnel. By using the Service, you represent and warrant that:

  • You hold a valid, active license to practice dentistry, surgery, or operate a dental laboratory in your local jurisdiction.
  • You have the full legal authority to enter into this agreement.
  • We reserve the right to request proof of licensure at any time and to suspend or terminate accounts that fail to provide such proof.

3. Nature of Service (No Medical Advice)

surgicalguide.pro provides technical design services only. We are NOT a medical provider, clinic, or healthcare institution.

  • Technical Role: Our services are limited to the software processing of digital files (DICOM/STL/OBJ) into 3D printable designs based strictly on the specifications provided by you.
  • No Diagnosis: We do not practice dentistry, diagnose medical conditions, prescribe treatments, or interact with patients.
  • Proposals Only: Any surgical guides, implant positions, drilling protocols, or treatment plans generated by the Platform are digital proposals for your professional review. They do not constitute medical advice.

4. User Responsibilities and Liability Waiver

CRITICAL NOTICE: You acknowledge that the practice of dentistry involves professional judgment that cannot be delegated to software, third-party designers, or AI tools. By using our Service, you agree that:

  • Final Verification: You are solely responsible for reviewing, verifying, and approving the final design plan. You must verify implant positioning, nerve proximity, bone density, key fit, and the overall fit of the guide before any surgical procedure.
  • Clinical Decision: The decision to use a surgical guide manufactured from our files is your exclusive clinical decision. You assume all risks associated with the surgery and the patient's clinical outcome.
  • Input Data: You are solely responsible for the accuracy and quality of the input data (CT scans, intraoral scans). The Platform is not liable for errors resulting from distorted, artifacts, outdated, or low-resolution scans provided by you.

5. Manufacturing and Printing Disclaimer

The Platform delivers digital files only (e.g., .STL). We do not manufacture, ship, or sell physical goods or medical devices.

  • We make no warranties regarding the physical manufacturing of the guide by you or third parties.
  • We are not liable for errors caused by 3D printer calibration, resin shrinkage, improper curing, material biocompatibility, or the use of incompatible metal sleeves.
  • It is your strict responsibility to ensure the printed guide fits the patient's anatomy ("passive fit") prior to surgery.

6. Payments and Refunds

  • Pricing: Prices are displayed on the Platform and may vary based on complexity.
  • No Refunds: Due to the custom nature of the digital service, all sales are final once the design file has been made available for download or approved by the User.
  • Revisions: We offer reasonable revisions prior to final file generation at no extra cost, provided the original clinical instructions (implant system, arch, etc.) have not changed significantly. Major changes to the initial prescription may incur additional fees.

7. Intellectual Property

  • Your Data: You retain ownership of the patient scans and data you upload. You grant us a license to use this data solely to perform the services.
  • Our Designs: Upon full payment, the specific design file created for you becomes your property to use for the treatment of your patient. The methods, software, workflows, and generic design templates remain the intellectual property of the Company.

8. Indemnification

You agree to indemnify, defend, and hold harmless Oleksandr Pakhomov (IČO: 55555411), its officers, employees, and contractors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

  • Your use of the Service;
  • Your violation of these Terms;
  • Any malpractice claims, personal injury claims, or damages asserted by your patients or third parties related to the use of designs generated by the Platform.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: IN NO EVENT SHALL Oleksandr Pakhomov BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REPUTATION, OR REVENUES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL BE STRICTLY LIMITED TO THE AMOUNT PAID BY YOU FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Slovak Republic. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the Slovak Republic.
